Xentrixus Partners & Affiliates Program Terms and Conditions

 

1. Introduction

   This agreement outlines the terms and conditions for participation in the Xentrixus Partners & Affiliates Program. By participating in the program, you agree to abide by these terms and conditions.

2. Eligibility

   To be eligible for the Partners & Affiliates Program, you must be at least 18 years old and have the legal authority to enter into this agreement.

3. Responsibilities

   As a partner or affiliate, you agree to promote Xentrixus and its services in a manner that is ethical and in line with our brand values. You are responsible for all marketing and promotion activities, and for ensuring that these activities comply with all applicable laws and regulations.

4. Commissions

   Commissions will be paid on a monthly basis for all qualifying sales made during the previous month. The specific commission structure will be outlined in a separate agreement.

5. Intellectual Property

   Xentrixus grants you a non-exclusive, non-transferable, revocable license to use our trademarks and promotional materials for the purpose of promoting our services. You agree not to use our intellectual property in a way that is misleading, harmful, or disparaging to Xentrixus.

6. Confidentiality

   You agree to keep confidential any non-public information that you receive from Xentrixus as part of your participation in the program.

7. Termination

   Either party may terminate this agreement at any time, with or without cause, by giving the other party written notice of termination.

8. Limitation of Liability

   Xentrixus will not be liable for indirect, special, or consequential damages arising in connection with this agreement or the Partners & Affiliates Program.

9. Governing Law

   This agreement will be governed by the laws of the state of Texas, without regard to its conflict of laws principles.

10. Non-Exclusivity

    This agreement does not create an exclusive relationship between you and Xentrixus. Both parties have the right to recommend similar products and services of third parties and to work with other parties in the same or similar fields.

11. Indemnification

    You agree to indemnify and hold harmless Xentrixus and its employees and affiliates, against any and all claims, suits, actions, or other proceedings brought against them based on or arising from any claim resulting from your breach of this agreement. You will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys' fees and costs awarded against or otherwise incurred by Xentrixus in connection with or arising from any such claim, suit, action, or proceeding.

12. Modification

    Xentrixus reserves the right to update or change the terms of this agreement at any time. Any such changes will be posted on the Xentrixus website, and you agree to be bound by such changes.

13. Entire Agreement

    This agreement constitutes the entire agreement between the parties relating to the subject matter herein. Any previous agreement, whether oral or written, between you and Xentrixus relating to the subject matter of this agreement is superseded.

14. Severability

    If any part of this agreement is declared unenforceable or invalid, the remainder will continue to be valid and enforceable.

15. Dispute Resolution

    Any disputes arising out of or relating to this agreement or the Partners & Affiliates Program will be resolved through final and binding arbitration, rather than in court. The arbitration will be conducted in the city of Houston, Texas, or another location mutually agreeable to the parties.

16. Force Majeure

    Neither party will be liable for any failure or delay in performance under this agreement (other than for delay in the payment of money due and payable hereunder) for causes beyond the party's reasonable control and not caused by that party's fault or negligence, for so long as such causes continue.

17. Relationship of the Parties

    Nothing in this agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Xentrixus. You have no authority to make or accept any offers or representations on our behalf.

18. Non-Disparagement

    You agree that you will not engage in any conduct or communications, public or private, designed to disparage Xentrixus, its products or services, or any of its employees or representatives.

19. Compliance with Laws

    In performing under this agreement, all applicable governmental laws, regulations, orders, and other rules of duly-constituted authority will be followed and complied with in all respects by both parties.

20. Assignment

    You may not assign your rights or obligations under this agreement to any other party without Xentrixus's prior written consent.
